1. Acceptance of Terms, Legal Notice & Agreement
IMPORTANT LEGAL NOTICE
Welcome to CODEMEONLINE. These Terms & Conditions ("Terms") constitute a legally binding agreement between CODEMEONLINE, its owners, employees, representatives, affiliates, licensors, successors, permitted assigns, contractors, and authorized business partners (collectively referred to as "CODEMEONLINE", "Company", "we", "our", or "us") and every visitor, customer, subscriber, organization, reseller, developer, business entity, government organization, educational institution, or any individual or legal entity accessing or using our products or services ("Customer", "Client", "User", "You", or "Your").
These Terms govern your access to and use of every website, software product, mobile application, SaaS platform, cloud service, API, hosting service, server infrastructure, artificial intelligence service, chatbot platform, CRM, ERP, automation platform, payment integration, marketplace, customer portal, support system, documentation, downloadable software, digital asset, enterprise solution, consultation service, marketing solution, branding service, maintenance service, subscription, beta service, trial service, future product, or any other service offered by CODEMEONLINE whether now existing or introduced in the future.
By accessing, browsing, registering, purchasing, downloading, installing, subscribing, integrating, connecting APIs, making payment, requesting quotations, using trial services, communicating with our representatives, or otherwise using any CODEMEONLINE service, you acknowledge that you have carefully read, fully understood, and voluntarily agreed to be legally bound by these Terms & Conditions, our Privacy Policy, Refund & Cancellation Policy, Cookie Policy, Acceptable Use Policy, Data Processing provisions, and every additional policy published by CODEMEONLINE from time to time.
If you do not agree with any provision contained within these Terms, you must immediately discontinue using all CODEMEONLINE websites, software, applications, APIs, services, subscriptions, platforms, and associated products.
Your continued use of any CODEMEONLINE service after any modification to these Terms constitutes your acceptance of those revised Terms unless applicable law requires additional consent.
These Terms apply to every free service, paid service, trial account, enterprise agreement, custom software project, subscription plan, quotation, proposal, invoice, purchase order, API integration, automation workflow, hosted infrastructure, white-label solution, reseller account, and future service provided by CODEMEONLINE.
1.1 Legal Capacity
You represent and warrant that you possess the legal authority, capacity, and competence required under applicable laws to enter into this legally binding agreement.
If you are entering into these Terms on behalf of a company, partnership, LLP, corporation, trust, government body, educational institution, society, or any other legal entity, you further represent and warrant that you possess the necessary authority to legally bind that organization to these Terms.
Any person accepting these Terms on behalf of an organization shall remain responsible for ensuring that they possess the necessary authorization to do so.
1.2 Electronic Acceptance
You acknowledge that acceptance of these Terms may occur electronically, including but not limited to selecting a checkbox, clicking an "Accept", "Continue", "Purchase", "Subscribe", "Create Account", "Register", "Start Trial", "Pay Now", or similar button, completing an online order, making payment, accessing our software, or otherwise using any CODEMEONLINE service.
Such electronic acceptance shall have the same legal force and effect as a handwritten signature to the fullest extent permitted under the Information Technology Act, 2000 and other applicable laws of India.
1.3 Entire Agreement
These Terms, together with our Privacy Policy, Refund & Cancellation Policy, Service Level Agreements (where applicable), Statements of Work, Enterprise Agreements, quotations accepted by the customer, invoices, purchase orders accepted by CODEMEONLINE, and any written amendments executed by authorized representatives of CODEMEONLINE, constitute the complete agreement between the parties relating to the subject matter contained herein.
No oral representation, marketing material, sales discussion, demonstration, presentation, estimate, proposal, advertisement, brochure, social media content, or verbal assurance shall modify these Terms unless expressly confirmed in writing by an authorized representative of CODEMEONLINE.

2. Company Information, Business Identity & Legal Status
CODEMEONLINE is a technology company engaged in the design, development, licensing, deployment, hosting, maintenance, marketing, automation, consulting, artificial intelligence, cloud computing, software engineering, digital infrastructure, and related technology services for individuals, businesses, startups, enterprises, educational institutions, non-profit organizations, and government entities.
Unless otherwise stated in a separate written agreement executed by an authorized representative of CODEMEONLINE, all products and services offered through our websites, software platforms, APIs, SaaS solutions, mobile applications, customer portals, enterprise systems, and related digital services are owned, operated, managed, licensed, or otherwise provided by CODEMEONLINE.
The information provided below represents our primary business information for legal, contractual, taxation, customer support, compliance, billing, and regulatory purposes.

2.1 Business Operations
CODEMEONLINE develops, sells, licenses, maintains, hosts, supports, and operates digital products and technology solutions including but not limited to software applications, websites, SaaS platforms, enterprise systems, artificial intelligence solutions, automation systems, APIs, CRM platforms, ERP platforms, marketing platforms, payment integrations, hosting services, cloud infrastructure, digital assets, and future technology products.
The Company may introduce, discontinue, expand, merge, rename, redesign, replace, suspend, transfer, or otherwise modify any product, service, platform, feature, infrastructure, subscription, technology stack, pricing model, or business offering at its sole discretion, subject to applicable law and existing contractual obligations.
2.2 Business Communications
Customers agree that official communications from CODEMEONLINE may be delivered through email, support tickets, invoices, customer portals, WhatsApp Business, SMS, telephone, browser notifications, application notifications, postal correspondence, or any other communication method reasonably necessary for the operation of our business.
Customers are solely responsible for ensuring that the contact information provided to CODEMEONLINE remains accurate, complete, and up to date at all times. Failure to receive communications due to outdated or incorrect contact information shall not relieve the customer of any contractual obligations, payment responsibilities, renewal obligations, or compliance requirements.
Only communications issued through official CODEMEONLINE communication channels or by authorized representatives shall be considered valid. The Company shall not be responsible for representations, promises, commitments, quotations, discounts, or assurances made by unauthorized individuals, third parties, impersonators, or unofficial communication channels.
2.3 Legal Status
Nothing contained within these Terms shall be interpreted as creating a partnership, joint venture, agency relationship, employment relationship, franchise arrangement, fiduciary relationship, or other legal association between CODEMEONLINE and any customer unless expressly stated within a separately executed written agreement.
The purchase or use of any CODEMEONLINE product or service grants only those rights expressly described within the applicable agreement or license. No ownership interest, equity, partnership rights, voting rights, or proprietary interest in CODEMEONLINE is transferred to any customer through the purchase or use of our products or services.
CODEMEONLINE reserves all rights not expressly granted under these Terms & Conditions. Any rights not specifically granted to customers remain the exclusive property of CODEMEONLINE and its licensors.

- Applicable taxes, including GST where required, shall be charged in accordance with Indian law.
- Customers remain responsible for complying with the laws applicable to their own jurisdiction when using our products or services.
- Nothing in these Terms limits any statutory rights that cannot legally be excluded under applicable law.
3. Definitions & Interpretation
To ensure clarity, consistency, and proper interpretation of these Terms & Conditions, the following words and expressions shall have the meanings assigned to them below unless the context requires otherwise.
Headings are provided solely for convenience and shall not affect the interpretation of these Terms. Words expressed in the singular include the plural and vice versa. References to one gender include all genders. References to any law include amendments, replacements, re-enactments, and subordinate legislation issued thereunder.
3.1 Defined Terms

3.2 Interpretation
Unless expressly stated otherwise, references to "including" or "includes" shall mean "including without limitation." References to statutes include all amendments, modifications, substitutions, or successor legislation enacted from time to time.
If any provision of these Terms becomes invalid, unlawful, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
Any ambiguity shall be interpreted in a commercially reasonable manner consistent with the purpose of these Terms and applicable laws of India.
Unless expressly stated otherwise in a separate written agreement, all future products, SaaS platforms, APIs, artificial intelligence services, cloud services, automation tools, mobile applications, enterprise software, hosting solutions, integrations, digital assets, and technology offerings introduced by CODEMEONLINE shall automatically become subject to these Terms & Conditions upon their release or first use by the Customer.
Nothing contained within these Terms shall be interpreted as granting any ownership rights, partnership rights, equity interests, intellectual property rights, distribution rights, franchise rights, agency rights, or other legal interests unless expressly granted in a written agreement executed by an authorized representative of CODEMEONLINE.
- These Terms shall be interpreted fairly and consistently under applicable Indian law.
- Headings are for convenience only and do not affect legal interpretation.
- References to products and services include existing and future offerings unless expressly excluded.
- Electronic records and communications may be relied upon as evidence to the extent permitted by applicable law.
- Customers acknowledge that these definitions apply throughout all related CODEMEONLINE policies unless a different definition is expressly stated.
4. Eligibility, Authority, Customer Representations & Right to Refuse Service
CODEMEONLINE provides professional software, SaaS platforms, digital infrastructure, artificial intelligence solutions, automation systems, APIs, enterprise software, hosting services, and technology-related products to individuals, businesses, organizations, educational institutions, government entities, and other legally recognized persons. By accessing or using any CODEMEONLINE product or service, you represent and warrant that you satisfy all eligibility requirements described in this section.
4.1 Minimum Age Requirement
You must be at least thirteen (13) years of age to access, browse, or use publicly available portions of our websites where permitted by applicable law.
Certain products, including paid subscriptions, enterprise services, software licensing, hosting services, cloud infrastructure, payment integrations, SaaS platforms, APIs, commercial software, consulting services, and legally binding commercial agreements may only be purchased, subscribed to, or used by persons who are at least eighteen (18) years of age or who otherwise possess the legal capacity to enter into binding contracts under applicable law.
If you are under the age required by applicable law to enter into legally binding agreements, you may only use our services under the supervision and responsibility of a parent, legal guardian, or another person legally authorized to accept these Terms on your behalf.
4.2 Authority to Enter This Agreement
By accepting these Terms, you represent and warrant that you possess all legal rights, permissions, licenses, approvals, and authority necessary to enter into this legally binding agreement.
If you register or use any CODEMEONLINE service on behalf of a company, corporation, partnership, LLP, trust, educational institution, government department, non-profit organization, or other legal entity, you further represent and warrant that you have full legal authority to bind that entity to these Terms & Conditions.
CODEMEONLINE shall not be responsible for disputes arising from unauthorized acceptance of these Terms by employees, contractors, interns, consultants, or other persons lacking proper authority.
Where an individual creates, manages, purchases, renews, or administers an account on behalf of another person or organization, such individual confirms that they possess all necessary authority to legally bind that organization to these Terms. The organization shall remain fully responsible for all actions performed through its authorized representatives.
4.3 Customer Representations & Warranties
By using any CODEMEONLINE service, you represent, warrant, and agree that:
- All information submitted to CODEMEONLINE is accurate, complete, truthful, and up to date.
- You will promptly update inaccurate or outdated information.
- You will not impersonate another individual, company, or organization.
- You will not use stolen identities, fake business information, or forged documentation.
- You possess all necessary rights to upload, transmit, publish, process, or store any content submitted to our platform.
- Your use of our services will comply with all applicable laws, regulations, industry standards, contractual obligations, and governmental requirements.
- You will not knowingly use our services for any unlawful, fraudulent, deceptive, abusive, harmful, or unauthorized purpose.
- You understand that providing false information may result in immediate suspension, termination, legal action, or reporting to competent authorities where required by law.
4.4 Business Customers
Business customers are solely responsible for ensuring that all employees, contractors, consultants, temporary staff, administrators, managers, developers, and authorized users accessing CODEMEONLINE services through their organization comply with these Terms.
Any action performed by an authorized user within a business account shall be deemed to have been performed by the organization itself unless otherwise required by applicable law.
4.5 Identity Verification
Where reasonably necessary for fraud prevention, regulatory compliance, payment verification, enterprise onboarding, security investigations, abuse prevention, anti-money laundering obligations, tax compliance, or other legitimate business purposes, CODEMEONLINE reserves the right to request additional information or documentation to verify the identity of a customer or the legitimacy of a business.
Requested documentation may include government-issued identification, business registration certificates, GST registration, tax information, proof of address, proof of ownership, payment verification, domain ownership verification, or other documentation reasonably necessary for verification purposes.
Failure to provide requested verification information within a reasonable period may result in delayed service activation, temporary suspension, restricted functionality, cancellation of pending orders, or permanent refusal of service where legally permitted.
CODEMEONLINE reserves the right to decline, suspend, restrict, investigate, or terminate any order, account, subscription, API access, hosting service, enterprise agreement, or customer relationship where we reasonably believe that fraud, identity theft, payment abuse, unauthorized activity, false representations, security risks, or other unlawful conduct may be involved.
Nothing in these Terms shall require CODEMEONLINE to disclose internal fraud detection methods, security procedures, risk assessment criteria, investigation techniques, or proprietary abuse prevention systems.
4.6 Right to Refuse Service
To the maximum extent permitted by applicable law, CODEMEONLINE reserves the right to refuse, reject, suspend, discontinue, or terminate any customer relationship, quotation, proposal, subscription, order, account, enterprise agreement, software license, hosting service, SaaS platform access, API access, or other service where we reasonably determine that such action is necessary to protect our customers, employees, infrastructure, intellectual property, security, reputation, legal rights, business operations, or compliance obligations.
The exercise of this right shall not affect any payment obligations, accrued liabilities, intellectual property rights, confidentiality obligations, indemnification obligations, or other provisions that by their nature survive termination.

- You acknowledge that CODEMEONLINE may rely upon the information you provide.
- You understand that providing false or misleading information may result in refusal of service or termination of your account.
- You agree to cooperate with reasonable verification requests made for security, legal, or compliance purposes.
- You acknowledge that CODEMEONLINE may refuse service where permitted by applicable law to protect its business, customers, infrastructure, or legal interests.
5. User Accounts, Registration, Authentication & Account Security
Certain CODEMEONLINE products and services require the creation of a customer account before they may be accessed or used. By registering an account, you acknowledge that your account serves as your primary identity for accessing our platforms, managing subscriptions, communicating with our support team, purchasing products, managing billing information, accessing enterprise services, and utilizing any other services made available by CODEMEONLINE.
You are solely responsible for all activities occurring under your account, regardless of whether such activities are performed by you, your employees, contractors, administrators, team members, family members, agents, or any person using your login credentials with or without your authorization.
Every action performed through your account shall be deemed to have been performed by you unless otherwise required under applicable law. You are responsible for maintaining appropriate security over your account at all times.
5.1 Account Registration
When creating an account, you agree to provide complete, accurate, current, and truthful information. Registration information must remain accurate throughout your relationship with CODEMEONLINE.
You agree not to create accounts using false identities, temporary identities, fake business information, stolen personal information, misleading company names, or information intended to conceal your true identity.
CODEMEONLINE reserves the right to reject, suspend, or remove any account containing inaccurate, misleading, offensive, unlawful, or fraudulent information.
5.2 One Account Per Customer
Unless expressly permitted under your subscription, enterprise agreement, reseller agreement, or other written authorization, customers may not create multiple accounts to bypass subscription limits, usage restrictions, free trial limitations, pricing structures, security controls, or platform policies.
We reserve the right to merge, suspend, restrict, or permanently terminate duplicate accounts where we reasonably determine that multiple accounts are being used to abuse our platform or circumvent our policies.
5.3 Business & Organization Accounts
Business subscriptions may permit multiple authorized users under a single organization account depending upon the purchased subscription plan.
The organization remains fully responsible for every administrator, employee, contractor, consultant, intern, temporary worker, partner, affiliate, or other individual granted access through its account.
Removing a user from your organization does not remove your responsibility for actions performed before such removal.
5.4 Username & Account Identity
CODEMEONLINE reserves the right to reject, modify, reclaim, or remove usernames, organization names, display names, profile information, or custom workspace names that violate applicable laws, infringe intellectual property rights, impersonate another person or organization, create confusion, contain offensive language, or otherwise interfere with our operations.
We may also reserve usernames relating to our trademarks, affiliates, partners, future products, or security purposes.
5.5 Password Security
You are responsible for creating and maintaining strong passwords and authentication credentials. Passwords should be unique and should not be reused across unrelated online services.
You agree not to disclose your password, recovery codes, authentication tokens, API credentials, session cookies, access tokens, or verification codes to unauthorized persons.
- Never share your password.
- Never share one-time verification codes.
- Protect your API keys.
- Use Multi-Factor Authentication whenever available.
- Log out from shared or public devices.
- Monitor your account regularly.
- Notify CODEMEONLINE immediately if you suspect unauthorized access.
5.6 Multi-Factor Authentication (MFA)
Where available, CODEMEONLINE strongly recommends enabling Multi-Factor Authentication (MFA) to improve account security.
Certain enterprise services or administrative accounts may require Multi-Factor Authentication as a mandatory security measure.
5.7 API Keys & Access Tokens
Customers using APIs, integrations, automation systems, webhooks, SDKs, AI agents, or developer tools are solely responsible for securing all API credentials issued by CODEMEONLINE.
API keys, secret tokens, webhook signatures, OAuth credentials, private keys, access tokens, refresh tokens, and other authentication credentials must be treated as confidential information.
Customers remain fully responsible for all API requests generated using credentials assigned to their accounts.
5.8 Account Sharing
Unless expressly permitted under your subscription plan or enterprise agreement, accounts are intended for use only by the registered customer and may not be shared with unrelated individuals, organizations, or third parties.
Unauthorized sharing of login credentials may result in suspension, forced logout of active sessions, security investigations, account restrictions, or permanent termination.
5.9 Account Recovery
CODEMEONLINE may require identity verification before restoring access to any account. We reserve the right to deny recovery requests where ownership cannot be reasonably verified or where fraudulent activity is suspected.
Recovery methods may include email verification, telephone verification, identity documentation, business ownership verification, payment verification, or other reasonable verification methods.
5.10 Unauthorized Access
If you believe your account has been compromised, accessed without authorization, or otherwise subjected to unauthorized activity, you must notify CODEMEONLINE immediately through our official support channels.
Failure to report suspected security incidents within a reasonable period may increase the risk of unauthorized activity for which you may remain responsible to the extent permitted by applicable law.
5.11 Dormant Accounts
CODEMEONLINE reserves the right to suspend, archive, deactivate, or permanently delete inactive or dormant accounts after a commercially reasonable period, subject to applicable law, contractual obligations, and data retention requirements.
Prior to deletion, we may—but are not obligated to—provide advance notice where reasonably practicable.
5.12 Customer Security Obligations
Customers are responsible for maintaining the security of their own devices, servers, browsers, operating systems, internet connections, applications, and internal networks used to access CODEMEONLINE services.
CODEMEONLINE shall not be responsible for losses arising from malware infections, weak passwords, compromised devices, phishing attacks, credential theft, social engineering, unsecured networks, or other security failures occurring within the customer's own environment.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity occurring under your account unless otherwise required by applicable law.
- You agree to immediately notify CODEMEONLINE of suspected unauthorized access.
- You understand that failure to maintain adequate security may result in suspension or temporary restriction of your account for the protection of our platform and other customers.
- You acknowledge that CODEMEONLINE may implement additional security measures, authentication requirements, login restrictions, fraud detection systems, device verification, or account monitoring to protect our services and customers.
6. Products, Services, SaaS Platform, Software Licensing & Service Availability
CODEMEONLINE develops, licenses, operates, distributes, maintains, hosts, supports, markets, and continuously improves various digital products, software solutions, enterprise applications, cloud services, automation systems, artificial intelligence solutions, APIs, hosting infrastructure, and related technology services. Our products are designed for individuals, startups, businesses, enterprises, educational institutions, government organizations, agencies, and other legally recognized entities.
Unless otherwise stated in a separately executed written agreement, all products and services are provided subject to these Terms & Conditions, applicable service-specific agreements, licensing terms, and any applicable documentation published by CODEMEONLINE.
Technology evolves rapidly. Accordingly, CODEMEONLINE continuously improves, upgrades, redesigns, optimizes, expands, replaces, or removes features, interfaces, technologies, infrastructure, integrations, APIs, pricing models, subscription plans, security mechanisms, and functionality to improve reliability, security, compliance, performance, customer experience, and product quality.

Purchasing, subscribing to, or accessing a CODEMEONLINE product grants only a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the purchased service strictly in accordance with these Terms and any applicable license agreement.
No ownership rights are transferred to the Customer unless expressly agreed through a separately executed written agreement signed by an authorized representative of CODEMEONLINE.
6.3 SaaS Platform
Customers subscribing to any CODEMEONLINE SaaS platform receive access to software hosted by CODEMEONLINE or its authorized infrastructure providers.
Access to SaaS services is dependent upon an active subscription, successful payment processing, compliance with these Terms, technical compatibility, platform availability, and applicable security requirements.
SaaS subscriptions grant access only to features included within the purchased subscription plan. Premium features, enterprise functionality, API limits, storage capacity, automation limits, messaging limits, AI usage quotas, and other resources may vary according to the purchased plan.
6.4 Trial Services
CODEMEONLINE may offer free trials, beta access, demonstrations, promotional subscriptions, or limited evaluation periods at its sole discretion.
Trial services are provided strictly for evaluation purposes and may contain incomplete functionality, experimental features, temporary limitations, or reduced support.
Trial services may be modified, suspended, or discontinued at any time without prior notice.
Beta, preview, experimental, alpha, early-access, developer-preview, or similar services may contain bugs, performance limitations, incomplete functionality, compatibility issues, or unexpected behavior. Customers use such services entirely at their own risk unless otherwise required by applicable law.
6.5 Service Availability
Although CODEMEONLINE strives to provide reliable and uninterrupted services, continuous availability cannot be guaranteed.
Services may become temporarily unavailable due to scheduled maintenance, emergency maintenance, software updates, infrastructure upgrades, internet disruptions, cyberattacks, third-party failures, cloud provider outages, hardware failures, power interruptions, natural disasters, governmental actions, force majeure events, or other circumstances beyond our reasonable control.
Temporary interruptions shall not automatically constitute a breach of these Terms.
6.6 Service Modifications
CODEMEONLINE reserves the right to improve, redesign, update, replace, rename, suspend, discontinue, merge, divide, migrate, or otherwise modify any product, subscription, service, software, pricing plan, API, dashboard, infrastructure, feature, integration, technology stack, or business offering where reasonably necessary for operational, commercial, security, legal, regulatory, or technical purposes.
Where reasonably practicable, customers may receive advance notice of significant changes affecting active subscriptions.
6.7 Fair Usage Policy
To ensure stable performance and equitable access for all customers, CODEMEONLINE reserves the right to implement reasonable usage limits relating to API requests, storage, bandwidth, automation executions, AI requests, CPU usage, memory usage, messaging volume, email sending, WhatsApp messaging, SMS delivery, concurrent users, database usage, server resources, and similar operational metrics.
Customers exceeding commercially reasonable usage limits may be required to upgrade their subscription, reduce resource consumption, or enter into an enterprise agreement.
6.8 Future Services
Any future software, SaaS products, AI services, APIs, enterprise systems, automation platforms, cloud services, infrastructure products, digital assets, or other offerings introduced by CODEMEONLINE shall automatically become subject to these Terms unless accompanied by a separate agreement.

- You agree that features, pricing, integrations, APIs, and subscriptions may evolve over time.

- You understand that beta and experimental services may contain limitations and are provided without guaranteed stability.
7. Orders, Quotations, Pricing, Payments & Billing
CODEMEONLINE provides products and services through one-time purchases, recurring subscriptions, enterprise agreements, custom development contracts, maintenance plans, software licensing, consulting engagements, hosting services, and other commercial arrangements. Every order placed with CODEMEONLINE is subject to these Terms & Conditions together with any applicable quotation, invoice, proposal, statement of work, service agreement, enterprise agreement, or purchase confirmation issued by CODEMEONLINE.
Placing an order does not automatically create a contractual obligation for CODEMEONLINE to provide services until the order has been reviewed, accepted, and, where applicable, payment has been successfully received or alternative written payment arrangements have been approved.
CODEMEONLINE reserves the right to accept, reject, cancel, suspend, modify, or refuse any quotation, purchase request, subscription, renewal, custom project, enterprise agreement, or commercial transaction at its sole discretion where reasonably necessary for business, operational, legal, regulatory, compliance, fraud prevention, security, or technical reasons.
7.1 Quotations & Estimates
All quotations, proposals, estimates, pricing schedules, project budgets, timelines, and commercial offers issued by CODEMEONLINE are provided solely for informational purposes unless expressly stated otherwise.
Unless specifically mentioned within the quotation, all quotations remain valid for thirty (30) calendar days from the date of issue. CODEMEONLINE reserves the right to revise, withdraw, or replace quotations after their validity period expires.
Project pricing may change if the customer requests additional functionality, modifications, design revisions, integrations, infrastructure changes, scope expansion, third-party services, emergency work, accelerated delivery, or any additional requirements not originally included within the accepted quotation.
7.2 Pricing
Prices published on our website, customer portal, proposals, invoices, brochures, advertisements, promotional campaigns, or marketing materials may change at any time without prior notice unless a written agreement specifically guarantees fixed pricing for a defined period.
Pricing may vary depending upon service complexity, customer requirements, enterprise features, geographic location, applicable taxes, infrastructure costs, licensing fees, third-party costs, support requirements, subscription plans, promotional campaigns, or negotiated commercial agreements.
7.3 Payment Methods
Payments may be accepted through approved payment providers including but not limited to Razorpay, Stripe, Cashfree, PayU, UPI, IMPS, NEFT, RTGS, bank transfer, debit cards, credit cards, net banking, wallets, international payment providers, or other payment methods supported by CODEMEONLINE from time to time.
Availability of payment methods may vary depending upon the customer's location, currency, banking regulations, risk assessment, or technical limitations.
7.4 Payment Obligations
Customers agree to pay all invoices, subscription fees, hosting charges, renewal fees, maintenance fees, software licensing charges, enterprise fees, implementation costs, consulting fees, applicable taxes, third-party charges, and any additional charges arising from services purchased from CODEMEONLINE.
Unless otherwise agreed in writing, all invoices are payable immediately upon issuance or within the payment period specified on the applicable invoice.
Late payments may result in delayed project delivery, suspension of services, restricted account access, temporary service interruption, cancellation of subscriptions, or permanent termination where permitted by applicable law.

- Subscription renewals may fail if payment cannot be processed.
- Hosting services may be temporarily suspended for unpaid invoices.
- Failure to pay outstanding amounts may result in legal recovery proceedings where applicable.
- Customers remain responsible for all outstanding contractual payment obligations.
7.5 Taxes
All applicable taxes, including Goods and Services Tax (GST), shall be charged in accordance with the laws of India unless otherwise exempt under applicable legislation.
International customers remain responsible for complying with tax obligations, import duties, withholding taxes, VAT, sales tax, digital services tax, customs duties, or other taxes applicable within their own jurisdiction unless otherwise required by applicable law.
7.6 Subscription Billing
Recurring subscriptions may automatically renew at the end of each billing cycle unless cancelled in accordance with the applicable subscription terms.
Customers authorize CODEMEONLINE or its payment processors to charge the selected payment method for recurring subscription fees where automatic renewal has been enabled.
Failure to successfully process recurring payments may result in interruption or suspension of subscription services until payment has been successfully completed.
7.7 Chargebacks & Payment Disputes
Customers agree to contact CODEMEONLINE before initiating a chargeback or payment dispute whenever reasonably possible. We are committed to resolving genuine billing concerns through good-faith communication.
Fraudulent, abusive, or bad-faith chargebacks may result in immediate suspension of accounts, termination of subscriptions, recovery proceedings, reporting to payment providers, and refusal of future services where permitted by applicable law.
Nothing in this section limits any legal rights available to customers under applicable consumer protection or payment laws.
7.8 Currency
Unless otherwise stated, all pricing displayed by CODEMEONLINE is denominated in Indian Rupees (INR). Where foreign currencies are supported, exchange rates, banking charges, payment processor fees, and currency conversion costs may vary.
7.9 No Guarantee of Price Continuity
Customers acknowledge that promotional pricing, introductory discounts, beta pricing, launch offers, seasonal campaigns, and limited-time commercial offers are temporary unless expressly guaranteed in writing. CODEMEONLINE reserves the right to modify pricing for future billing periods in accordance with applicable law.

Due to the nature of digital products and customized development services, different refund and cancellation rules apply depending upon the specific product or service purchased.
By purchasing any CODEMEONLINE product or service, you acknowledge that you have carefully reviewed our Refund & Cancellation Policy together with these Terms & Conditions and agree to be legally bound by both documents.
Many CODEMEONLINE products consist of digital software, hosted platforms, downloadable content, cloud services, APIs, enterprise software, source code, digital licenses, and customized development work. Such products may become non-returnable immediately after delivery, activation, download, deployment, provisioning, or commencement of work, subject to applicable law.
8.1 Refund Eligibility
Refund eligibility depends upon the type of product or service purchased, the delivery status, the amount of work completed, contractual milestones achieved, applicable law, and any separately executed written agreement between CODEMEONLINE and the Customer.
Where refunds are permitted, they shall be processed using the original payment method whenever reasonably practicable unless otherwise agreed by both parties.

8.3 Subscription Cancellation
Customers may cancel eligible recurring subscriptions at any time through their account dashboard or by contacting our support team before the next billing cycle.
Cancellation prevents future renewals but does not automatically generate a refund for the current billing period unless required by applicable law or specifically stated within the applicable subscription plan.
Upon cancellation, customers may continue accessing paid subscription features until the end of the active billing period unless the account has been suspended or terminated for policy violations.
8.4 Customer Project Cancellation
Customers may request cancellation of custom projects at any stage. However, the customer remains responsible for payment corresponding to work completed, project milestones achieved, infrastructure costs incurred, third-party licensing fees, purchased assets, contractor costs, and other commercially reasonable expenses already incurred by CODEMEONLINE.
Where project milestones have already been completed, milestone payments remain payable irrespective of subsequent project cancellation unless otherwise agreed in writing.
8.5 Customer Delays
Customers are responsible for providing timely approvals, feedback, content, documentation, credentials, API access, design assets, legal information, business information, payment confirmations, and other materials reasonably required to complete the project.
Unreasonable customer delays may result in project rescheduling, temporary suspension, revised delivery timelines, additional commercial charges, or project closure following reasonable notice.
If a customer becomes unresponsive for an extended period after reasonable communication attempts, CODEMEONLINE reserves the right to place the project on hold, archive project files, release allocated development resources, close the project, or apply reactivation fees before work resumes.
Project abandonment shall not automatically cancel outstanding payment obligations.
8.6 Third-Party Costs
Payments made to third-party providers including hosting providers, cloud infrastructure providers, payment gateways, domain registrars, SMS providers, email providers, WhatsApp providers, Meta, Google, Microsoft, OpenAI, licensing providers, or similar vendors are generally non-refundable once incurred by CODEMEONLINE unless such third parties themselves approve a refund.
8.7 Lifetime Licenses
Where CODEMEONLINE offers lifetime licenses, such licenses apply only for the lifetime of the purchased product and not necessarily the lifetime of the customer or the Company.
CODEMEONLINE reserves the right to discontinue products, replace technologies, retire platforms, or migrate customers to successor products where commercially or technically necessary.
8.8 Refund Processing
Approved refunds may require a commercially reasonable processing period depending upon payment processors, banking systems, card issuers, regulatory requirements, fraud verification procedures, or technical limitations.
CODEMEONLINE shall not be responsible for delays caused by banks, payment gateways, credit card issuers, government authorities, or other third parties beyond our reasonable control.
8.9 Abuse Prevention
CODEMEONLINE reserves the right to deny refunds where we reasonably determine that refund requests are fraudulent, abusive, repetitive, malicious, intended to obtain free services, or otherwise inconsistent with these Terms or applicable law.
Nothing contained within this section limits any mandatory consumer rights that cannot legally be excluded under applicable law.

Ownership of anonymized and aggregated datasets remains exclusively with CODEMEONLINE to the extent permitted by applicable law.
Customers remain solely responsible for ensuring that they possess all necessary legal rights, permissions, authorizations, licenses, and consents before uploading, processing, storing, transmitting, or sharing personal information, confidential business information, copyrighted material, customer databases, or regulated data using CODEMEONLINE services.
CODEMEONLINE shall not be responsible for unlawful collection or unauthorized use of third-party information by customers.

CODEMEONLINE may retain customer information for as long as reasonably necessary to provide services, fulfill contractual obligations, comply with legal requirements, resolve disputes, enforce agreements, maintain business records, protect legitimate interests, detect fraud, maintain security, improve services, and satisfy regulatory obligations.
Following account closure, certain information may continue to be retained where required or permitted by applicable law.
9.7 International Processing
Depending upon the products or infrastructure used, customer information may be processed using cloud infrastructure, hosting providers, content delivery networks, payment processors, communication platforms, or technology providers located in different jurisdictions. CODEMEONLINE shall take commercially reasonable steps to ensure that such processing occurs in accordance with applicable legal obligations.
9.8 Applicable Law
Where applicable, CODEMEONLINE processes personal information in accordance with relevant provisions of the Digital Personal Data Protection Act, 2023 (India), the Information Technology Act, 2000, and other applicable Indian laws. International customers remain responsible for ensuring their own compliance with laws applicable within their respective jurisdictions where required.

All intellectual property rights associated with CODEMEONLINE, including but not limited to software, source code, object code, APIs, SDKs, artificial intelligence models, automation workflows, cloud infrastructure, databases, documentation, business processes, designs, graphics, trademarks, trade names, logos, branding materials, user interfaces, dashboards, algorithms, custom tools, scripts, plugins, templates, digital assets, website content, mobile applications, enterprise platforms, marketing materials, educational resources, documentation, know-how, trade secrets, and future technologies remain the exclusive property of CODEMEONLINE or its respective licensors unless expressly stated otherwise in a separate written agreement signed by an authorized representative of CODEMEONLINE.
Nothing contained within these Terms & Conditions shall be interpreted as transferring ownership of any intellectual property rights to the Customer unless such transfer has been expressly agreed in writing through a legally executed agreement.
Customers purchase or subscribe to a limited right to access or use our products and services. Except where expressly agreed in writing, Customers do not acquire ownership of our software, SaaS platforms, APIs, infrastructure, frameworks, internal tools, source code, artificial intelligence models, automation systems, trade secrets, business methodologies, or proprietary technology.

10.2 Limited Software License
Unless otherwise provided in a written agreement, CODEMEONLINE grants Customers a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use purchased software or subscribed services solely for their own lawful internal business purposes during the applicable subscription or license period.
The granted license automatically terminates upon expiration, cancellation, suspension, termination, non-payment, violation of these Terms, or other lawful termination of the applicable agreement.
10.3 Restrictions
Except where expressly permitted by applicable law or a written agreement, Customers shall not:

- Modify our software.
- Reverse engineer our products.
- Decompile applications.
- Disassemble software.
- Create competing products using our intellectual property.
- Sell our software without authorization.
- Lease our software.
- Rent our software.
- Sublicense our software.
- Redistribute our software.
- Remove copyright notices.
- Remove license notices.
- Circumvent security protections.
- Attempt unauthorized access to internal systems.
- Copy AI models.
- Extract training datasets.
- Replicate business logic.
- Exploit undocumented APIs.
- Misappropriate confidential information.
Unauthorized copying, reverse engineering, commercial exploitation, software piracy, intellectual property infringement, license circumvention, or theft of CODEMEONLINE technology may result in immediate account termination, license revocation, civil proceedings, criminal complaints where applicable, injunctive relief, recovery of damages, and any other remedies available under applicable law including the Copyright Act, 1957, Trade Marks Act, 1999, Information Technology Act, 2000, and other applicable laws.
10.4 Client Projects
Unless otherwise expressly agreed in writing, Customers retain ownership of their original content, trademarks, logos, business information, and materials supplied by them for project development.
CODEMEONLINE retains ownership of all proprietary development tools, reusable code libraries, internal frameworks, AI models, automation workflows, deployment systems, generic modules, templates, security components, methodologies, and other reusable intellectual property used during development.
Custom-developed software shall remain subject to the ownership provisions specifically stated within the applicable quotation, proposal, statement of work, enterprise agreement, or software development agreement.
10.5 SaaS Customer Confidentiality
CODEMEONLINE understands that many enterprise customers, SaaS users, agencies, startups, and organizations require confidentiality regarding their use of our services.
Unless the Customer provides prior written authorization, CODEMEONLINE will not intentionally publish confidential project information, private dashboards, customer databases, internal business information, source code, automation workflows, CRM data, ERP configurations, AI implementations, or other confidential customer information for marketing purposes.
We may identify Customers as clients only where permitted by a written agreement, public announcement made by the Customer, applicable law, or prior written consent.
10.6 Customer Feedback
Customers may voluntarily submit suggestions, feature requests, bug reports, recommendations, comments, reviews, ideas, enhancement proposals, or other feedback relating to our products and services.
Unless otherwise agreed in writing, Customers grant CODEMEONLINE a perpetual, worldwide, irrevocable, royalty-free, transferable, sublicensable license to use, reproduce, modify, improve, publish, implement, commercialize, and incorporate such feedback into existing or future products without compensation or attribution, provided that doing so does not disclose the Customer's confidential information.
10.7 Open Source Software
Certain CODEMEONLINE products may incorporate third-party open-source software distributed under their respective licenses. Such components remain governed by their applicable open-source licenses and nothing contained within these Terms shall limit rights granted under those licenses.
- You acknowledge that CODEMEONLINE owns its intellectual property.
- You understand that software is licensed and not sold unless expressly agreed in writing.
- You agree not to reverse engineer or copy our proprietary technology except where mandatory law expressly permits.
- You understand that reusable frameworks, libraries, AI systems, APIs, deployment tools, and internal development assets remain the property of CODEMEONLINE.
- You acknowledge that feature requests and suggestions may be incorporated into future products without compensation, while respecting your confidential information.
- You understand that confidential SaaS customer information will be handled in accordance with applicable agreements, our Privacy Policy, and applicable law.
11. Acceptable Use Policy, Platform Security, Prohibited Activities & Enforcement
CODEMEONLINE is committed to maintaining a secure, reliable, professional, and legally compliant platform for all customers. Every Customer agrees to use our websites, software, SaaS platforms, APIs, hosting services, cloud infrastructure, automation systems, artificial intelligence services, communication platforms, and related technology services responsibly, ethically, and in compliance with these Terms, applicable laws, industry standards, and third-party platform requirements.
Customers are solely responsible for all activities performed using their accounts, APIs, software, integrations, domains, servers, cloud resources, communication channels, or any other CODEMEONLINE service.
The security, stability, performance, reputation, and availability of CODEMEONLINE services are critical to all customers. Activities that negatively affect our infrastructure, other customers, third-party providers, or the public may result in immediate enforcement actions, including suspension or permanent termination of services.
11.1 Lawful Use
Customers shall use CODEMEONLINE services only for lawful purposes and in accordance with all applicable local, state, national, and international laws, regulations, governmental requirements, court orders, regulatory obligations, industry standards, contractual obligations, and platform policies applicable to their activities.
Customers remain solely responsible for determining whether their intended use complies with applicable laws within their own jurisdiction.
11.2 Prohibited Activities
Without limiting other restrictions contained within these Terms, Customers shall not use CODEMEONLINE products or services for any activity involving or relating to:
- Spam or unsolicited commercial communications.
- Mass messaging without required consent.
- WhatsApp policy violations.
- SMS spam.
- Email spam.
- Phishing campaigns.
- Identity theft.
- Impersonation of individuals or organizations.
- Fraudulent business activities.
- Fake investment schemes.
- Ponzi schemes.
- Loan fraud.
- Cryptocurrency scams.
- Financial fraud.
- Carding.
- Unauthorized payment processing.
- Money laundering.
- Terrorist financing.
- Distribution of malware.
- Viruses.
- Ransomware.
- Spyware.
- Botnets.
- Credential theft.
- Password harvesting.
- Unauthorized system access.
- Hacking.
- DDoS attacks.
- Network abuse.
- Unauthorized penetration testing.
- Excessive API abuse.
- Resource exhaustion attacks.
- Automated abuse.
- Illegal web scraping.
- Circumvention of security controls.
- Copyright infringement.
- Trademark infringement.
- Patent infringement.
- Distribution of pirated software.
- Counterfeit products.
- Illegal pharmaceuticals.

11.3 Fair Platform Usage
Customers shall use platform resources fairly and responsibly. Activities that unreasonably consume shared infrastructure, degrade platform performance, interfere with other customers, or create unreasonable operational burdens may be restricted or suspended.
CODEMEONLINE may implement technical controls including API rate limits, bandwidth limitations, storage limits, CPU limits, memory limits, concurrent connection limits, messaging limits, AI usage quotas, security controls, and other operational restrictions necessary for maintaining platform stability.
11.4 Third-Party Platform Compliance
Customers remain solely responsible for complying with the terms, policies, acceptable use requirements, and developer agreements of third-party providers including Meta, WhatsApp, Google, Microsoft, OpenAI, payment processors, SMS providers, email providers, hosting providers, cloud providers, domain registrars, social media platforms, and any integrated third-party services.
CODEMEONLINE shall not be responsible for account suspensions, API restrictions, message delivery limitations, verification failures, bans, policy enforcement actions, or other decisions made by third-party service providers.
CODEMEONLINE reserves the absolute right, where reasonably necessary and to the extent permitted by applicable law, to investigate, restrict, suspend, disable, permanently terminate, or refuse any account, subscription, software license, API access, hosting service, SaaS workspace, enterprise account, project, or customer relationship whenever we reasonably believe such action is necessary to protect our customers, infrastructure, intellectual property, reputation, legal rights, employees, business operations, or compliance obligations.
Such action may be taken with or without prior notice where immediate action is reasonably necessary to address security risks, fraud, illegal activity, platform abuse, or other serious violations.
11.5 Investigations
CODEMEONLINE may investigate suspected violations of these Terms, applicable laws, third-party policies, security requirements, or contractual obligations. Customers agree to reasonably cooperate with lawful investigations, provide requested information where appropriate, and refrain from interfering with such investigations.
Nothing in this section requires CODEMEONLINE to disclose confidential security procedures, fraud detection systems, monitoring methodologies, internal investigations, proprietary algorithms, or other confidential operational information.
11.6 Reporting Abuse
Customers are encouraged to promptly report suspected fraud, phishing, security vulnerabilities, abusive behavior, intellectual property infringement, illegal activity, or violations of these Terms through our official support channels.
Knowingly submitting false, misleading, malicious, or fraudulent abuse reports may itself constitute a violation of these Terms.
- You agree to use CODEMEONLINE services only for lawful and authorized purposes.
- You acknowledge responsibility for all activity performed through your account.
- You understand that violations of these Terms may result in immediate suspension or permanent termination.
- You acknowledge that CODEMEONLINE may implement technical controls necessary to protect platform stability and security.
- You agree to comply with applicable third-party platform policies when using integrated services.
- You acknowledge that CODEMEONLINE may cooperate with competent legal authorities where required by applicable law.
- You understand that nothing in these Terms limits any mandatory rights or obligations imposed by applicable law.
12. Service Availability, Hosting, Infrastructure, Maintenance, Backups & Service Level
CODEMEONLINE is committed to delivering secure, reliable, scalable, and high-quality software solutions and cloud-based services. While we continuously strive to maintain the highest possible level of service availability, Customers acknowledge that no online service, hosting environment, cloud platform, API, artificial intelligence system, communication platform, software application, or internet-based infrastructure can guarantee uninterrupted operation at all times.
By using our services, you acknowledge that temporary interruptions, maintenance periods, infrastructure upgrades, software updates, emergency security patches, third-party provider failures, internet disruptions, force majeure events, and other technical circumstances may occasionally affect service availability.
CODEMEONLINE continuously invests in improving infrastructure, monitoring systems, security controls, cloud architecture, software reliability, disaster recovery planning, and operational resilience. Our objective is to minimize downtime while maintaining platform security, regulatory compliance, and long-term service reliability.
12.1 Service Availability
CODEMEONLINE will use commercially reasonable efforts to maintain the availability of its products and services. However, uninterrupted access, continuous uptime, error-free operation, or permanent availability cannot be guaranteed.
Temporary interruptions shall not constitute a breach of these Terms where such interruptions arise from maintenance, upgrades, third-party failures, security incidents, internet outages, hardware failures, software defects, cloud infrastructure issues, governmental actions, or circumstances beyond our reasonable control.
12.2 Scheduled Maintenance
To improve platform stability, security, scalability, compliance, and performance, CODEMEONLINE may perform scheduled maintenance from time to time.
Scheduled maintenance may include software updates, database optimization, infrastructure migration, hardware replacement, operating system updates, security improvements, network maintenance, storage upgrades, API improvements, artificial intelligence model updates, or other technical operations.
Where reasonably practicable, advance notice may be provided before planned maintenance affecting production services.
12.3 Emergency Maintenance
CODEMEONLINE reserves the right to immediately perform emergency maintenance without prior notice whenever reasonably necessary to protect customer data, platform security, infrastructure stability, legal compliance, or operational integrity.
Emergency maintenance may temporarily interrupt access to some or all services.
Where immediate action is necessary to prevent cyberattacks, malware infections, data breaches, unauthorized access, infrastructure compromise, service abuse, fraud, or other security incidents, CODEMEONLINE may temporarily suspend services without prior notice while corrective actions are performed.
12.4 Third-Party Infrastructure
Certain CODEMEONLINE services rely upon third-party providers including cloud infrastructure providers, hosting companies, domain registrars, payment gateways, content delivery networks (CDNs), DNS providers, artificial intelligence providers, communication providers, email delivery providers, SMS providers, and other technology partners.
CODEMEONLINE shall not be responsible for interruptions, delays, outages, restrictions, policy changes, account suspensions, API limitations, infrastructure failures, or other actions caused solely by independent third-party providers beyond our reasonable control.
12.5 Hosting Services
Customers purchasing hosting, VPS, cloud servers, dedicated infrastructure, managed hosting, or similar services acknowledge that server resources remain subject to commercially reasonable usage policies, infrastructure limitations, hardware availability, and security requirements.
Customers remain responsible for managing their own websites, applications, credentials, software installations, backups (unless expressly included), licensing compliance, and content hosted within their environments.
12.6 Customer Backups
Unless expressly included within the purchased service or enterprise agreement, Customers remain solely responsible for maintaining independent backups of their websites, databases, software, documents, source code, digital assets, customer records, business information, and other important data.
Customers should regularly verify the integrity and usability of their backups.
12.7 Disaster Recovery
CODEMEONLINE maintains commercially reasonable disaster recovery procedures designed to improve business continuity following infrastructure failures, cybersecurity incidents, hardware failures, cloud disruptions, or other operational events. Recovery objectives may vary depending upon the specific product, subscription plan, infrastructure provider, enterprise agreement, or technical circumstances.
12.8 Software Updates
CODEMEONLINE may automatically deploy software updates, bug fixes, security patches, infrastructure improvements, user interface enhancements, artificial intelligence improvements, API revisions, database optimizations, and feature enhancements without prior notice where reasonably necessary to maintain platform reliability, security, or compliance.
Customers acknowledge that software updates may occasionally modify workflows, interfaces, functionality, performance characteristics, or technical requirements.
12.9 API Versioning
APIs may evolve over time. CODEMEONLINE reserves the right to introduce new API versions, deprecate legacy endpoints, modify request formats, improve authentication mechanisms, enhance security controls, and discontinue obsolete API functionality after providing commercially reasonable transition periods where appropriate.
12.10 Artificial Intelligence Services
Artificial intelligence features may generate content based on probabilistic models. AI-generated responses, recommendations, summaries, analyses, classifications, translations, code generation, or other outputs may contain inaccuracies, omissions, outdated information, hallucinations, or unintended results.
Customers remain solely responsible for independently reviewing, validating, testing, and verifying all AI-generated output before relying upon it for legal, medical, financial, engineering, commercial, educational, regulatory, or other important decisions.
Artificial intelligence is intended to assist users and should not be considered a substitute for qualified professional advice, independent verification, or human judgment. Customers accept full responsibility for decisions made using AI-generated content.
12.11 Service Improvements
CODEMEONLINE continuously improves its infrastructure, software architecture, artificial intelligence capabilities, APIs, security controls, monitoring systems, customer experience, integrations, and platform performance. Customers acknowledge that products and services may evolve over time as part of our ongoing commitment to innovation.
- You understand that internet services cannot guarantee uninterrupted availability.
- You acknowledge that scheduled and emergency maintenance may occur.
- You remain responsible for maintaining independent backups unless expressly included in your purchased service.
- You understand that third-party infrastructure providers operate independently of CODEMEONLINE.
- You acknowledge that AI-generated content should always be independently verified before use.
- You agree that software updates and platform improvements may change functionality over time.
- You understand that temporary outages do not automatically constitute a breach of these Terms where caused by reasonable operational, technical, legal, or security requirements.
13. Disclaimers, Limitation of Liability, Indemnification & Force Majeure
To the fullest extent permitted under applicable law, including the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019, and other applicable laws, this section defines the allocation of risk between CODEMEONLINE and the Customer regarding the use of our products and services.
Customers acknowledge that software, cloud computing, artificial intelligence, internet infrastructure, third-party integrations, hosting services, APIs, digital communications, and online platforms involve inherent technical limitations and operational risks that cannot be completely eliminated.
Nothing contained within this section excludes, limits, or restricts any liability that cannot legally be excluded under applicable law. Where any limitation is prohibited by law, such limitation shall apply only to the maximum extent legally permitted.
13.1 No Warranty
Unless expressly stated within a separate written agreement, CODEMEONLINE products and services are provided on an "AS IS" and "AS AVAILABLE" basis.
To the maximum extent permitted by applicable law, CODEMEONLINE disclaims all warranties, representations, guarantees, and conditions, whether express, implied, statutory, or otherwise, including implied warranties relating to merchantability, satisfactory quality, fitness for a particular purpose, uninterrupted availability, compatibility, accuracy, non-infringement, or commercial success.
Customers acknowledge that no software platform, cloud service, API, artificial intelligence system, hosting environment, automation platform, or internet-based technology can be completely free from bugs, interruptions, security risks, or unexpected technical issues.
13.2 No Guarantee of Business Results
CODEMEONLINE does not guarantee that Customers will achieve any specific business outcome, financial result, increase in revenue, sales growth, customer acquisition, investment return, website traffic, advertising performance, search engine ranking, marketing conversion rate, profitability, operational efficiency, or commercial success through the use of our products or services.
Business outcomes depend upon numerous factors beyond our reasonable control, including market conditions, customer decisions, competition, third-party platform policies, advertising budgets, business strategies, legal requirements, economic conditions, and customer implementation.
13.3 Artificial Intelligence Disclaimer
Artificial intelligence features may generate incorrect, incomplete, outdated, biased, misleading, or otherwise inaccurate content. AI-generated responses should be treated as informational assistance only and must not be relied upon without independent verification by appropriately qualified professionals where necessary.
Customers remain solely responsible for reviewing and validating all AI-generated content before using it in legal, medical, financial, engineering, commercial, educational, governmental, regulatory, or other important contexts.
13.4 Third-Party Platforms
Many CODEMEONLINE services integrate with or depend upon independent third-party providers including Meta, WhatsApp, Google, Microsoft, OpenAI, payment gateways, cloud providers, hosting providers, SMS providers, email providers, social media platforms, and domain registrars.
CODEMEONLINE does not control the policies, infrastructure, business decisions, verification procedures, suspensions, bans, API restrictions, pricing, service availability, or technical operations of such third parties.
Accordingly, CODEMEONLINE shall not be responsible for interruptions, suspensions, policy enforcement actions, verification failures, reduced functionality, account restrictions, service discontinuation, or other decisions made independently by third-party providers.

- No guarantee of Meta advertisement approval.
- No guarantee of WhatsApp message delivery.
- No guarantee of email inbox placement.
- No guarantee of lead generation.
- No guarantee of advertising performance.
- No guarantee of social media growth.
- No guarantee of viral marketing.
- No guarantee of search engine indexing.
- No guarantee that third-party platforms will continue supporting any integration.
13.5 Limitation of Liability
To the maximum extent permitted by applicable law, CODEMEONLINE, its owners, employees, contractors, affiliates, licensors, representatives, and authorized partners shall not be liable for any indirect, incidental, consequential, exemplary, special, punitive, or speculative damages arising out of or relating to the use of our products or services.
This includes, without limitation, loss of profits, loss of business opportunities, loss of anticipated savings, loss of goodwill, business interruption, loss of contracts, reputational damage, corruption of data, loss of digital assets, cybersecurity incidents caused by third parties, or other consequential losses.
Where liability cannot legally be excluded, the aggregate liability of CODEMEONLINE shall, to the maximum extent permitted by law, be limited to the total amount actually paid by the Customer to CODEMEONLINE for the specific product or service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to liability, unless a greater liability is expressly required by applicable law.
13.6 Customer Indemnification
The Customer agrees to defend, indemnify, and hold harmless CODEMEONLINE, its owners, employees, affiliates, licensors, contractors, successors, representatives, and authorized partners from and against all claims, demands, proceedings, investigations, liabilities, damages, judgments, penalties, settlements, losses, costs, and reasonable legal expenses arising from or relating to:
- The Customer's breach of these Terms.
- Violation of applicable laws.
- Customer Content.
- Intellectual property infringement caused by Customer materials.
- Misuse of our services.
- Fraudulent or unlawful activities.
- Violation of third-party platform policies.
- Unauthorized use of APIs or integrations.
- Acts or omissions of Customer employees, contractors, or authorized users.
13.7 Force Majeure
CODEMEONLINE shall not be liable for delays, interruptions, failures, or inability to perform obligations resulting from events beyond our reasonable control, including but not limited to natural disasters, floods, earthquakes, fires, pandemics, epidemics, war, terrorism, riots, cyberattacks, internet failures, telecommunications failures, governmental actions, changes in law, labor disputes, power outages, cloud infrastructure failures, payment gateway failures, DNS failures, or other force majeure events.
Performance affected by a force majeure event shall be suspended for the duration of the event and resumed as soon as reasonably practicable.
- You understand that software and internet services involve inherent risks.
- You acknowledge that CODEMEONLINE does not guarantee specific commercial or marketing outcomes.
- You agree to independently verify AI-generated content before relying upon it.
- You understand that third-party platforms operate independently of CODEMEONLINE.
- You agree to indemnify CODEMEONLINE for claims arising from your misuse of our services or violation of these Terms, to the extent permitted by applicable law.
- You acknowledge that liability limitations contained in this section apply only to the extent permitted under applicable law.
14. Governing Law, Dispute Resolution, Arbitration & Jurisdiction
These Terms & Conditions, together with every quotation, invoice, proposal, purchase order, statement of work, subscription agreement, enterprise agreement, software license, and every other agreement entered into between CODEMEONLINE and the Customer shall be governed by and interpreted in accordance with the laws of the Republic of India, without regard to any conflict of law principles.
Both parties agree to conduct themselves honestly, fairly, and in good faith while attempting to resolve any disagreement arising from the use of CODEMEONLINE products or services.
CODEMEONLINE strongly believes that most disputes can be resolved through professional communication without litigation. Customers agree to make reasonable efforts to resolve disputes directly with our support or legal department before initiating formal legal proceedings, except where immediate legal action is required by applicable law.
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India including, where applicable, the Indian Contract Act, 1872, the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Consumer Protection Act, 2019, the Copyright Act, 1957, the Trade Marks Act, 1999, the Arbitration and Conciliation Act, 1996, the Goods and Services Tax laws, and other applicable legislation.
Nothing contained within these Terms shall be interpreted as excluding any mandatory statutory rights available under applicable law.
14.2 Good Faith Negotiation
Before commencing arbitration or court proceedings, both parties agree to make reasonable efforts to resolve disputes through direct discussions, written communication, or commercially reasonable negotiations.
Customers are encouraged to provide complete details of any complaint together with supporting documentation so that CODEMEONLINE may investigate and attempt to resolve the matter promptly.
14.3 Arbitration
Where permitted by applicable law and unless otherwise prohibited by mandatory legal provisions, disputes that cannot reasonably be resolved through negotiation may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
Unless otherwise agreed in writing, arbitration shall be conducted by a sole arbitrator appointed in accordance with applicable law.
The language of arbitration shall be English unless otherwise agreed by both parties.
The arbitral award shall be final and binding upon both parties, subject to any rights available under applicable law.
14.4 Jurisdiction
Subject to applicable law, any dispute, legal proceeding, application, petition, enforcement action, injunction, appeal, or other judicial proceeding arising out of or relating to these Terms, the use of CODEMEONLINE products or services, or any commercial relationship with CODEMEONLINE shall be subject to the exclusive jurisdiction of the competent courts located in or having jurisdiction over Malerkotla, Punjab, India.
Nothing in this clause prevents CODEMEONLINE from seeking interim relief, injunctive relief, recovery of outstanding payments, protection of intellectual property, enforcement of confidentiality obligations, or other remedies before any court or authority having competent jurisdiction where such action is reasonably necessary or permitted by applicable law.
Customers agree not to initiate frivolous, malicious, abusive, repetitive, or bad-faith legal proceedings intended solely to harass, disrupt, delay, or impose unreasonable costs upon CODEMEONLINE. This provision shall not restrict any legitimate legal rights available under applicable law.
14.5 Legal Notices
Official legal notices relating to these Terms shall be delivered to CODEMEONLINE using our officially designated communication channels or business address. Electronic delivery through officially designated email addresses may be accepted where permitted by applicable law.
Customers remain responsible for maintaining accurate contact information to receive legal notices, invoices, compliance communications, and other official correspondence.
14.6 Limitation Period
To the maximum extent permitted by applicable law, any claim arising from these Terms should be brought within the applicable limitation period prescribed under Indian law. Nothing contained in this clause shall reduce any statutory limitation period where such reduction is prohibited by law.
14.7 Regulatory Cooperation
CODEMEONLINE reserves the right to cooperate with courts, law enforcement agencies, regulators, government authorities, tax authorities, cybercrime cells, CERT-In, and other competent authorities where disclosure or cooperation is required by applicable law, lawful governmental request, judicial order, regulatory obligation, or national security requirement.
14.8 Cross-Border Customers
Customers located outside India acknowledge that they are responsible for complying with all laws applicable within their own jurisdiction relating to taxation, import controls, export controls, sanctions, licensing, privacy, consumer protection, and other legal requirements.
Nothing contained within these Terms shall require CODEMEONLINE to provide products or services where doing so would violate applicable law, international sanctions, export restrictions, or governmental regulations.
- You agree that these Terms shall be governed by the laws of India.
- You agree to attempt good-faith negotiations before commencing formal legal proceedings where reasonably possible.
- You acknowledge that arbitration may apply where legally permitted.
- You agree that, subject to applicable law, the competent courts having jurisdiction over Malerkotla, Punjab, India shall have jurisdiction over disputes relating to these Terms.
- You acknowledge that CODEMEONLINE may cooperate with competent governmental or judicial authorities where required by law.
- You understand that nothing contained within these Terms removes statutory rights that cannot legally be excluded.
15. General Provisions, Entire Agreement, Amendments & Final Legal Terms
This section contains the general legal provisions governing the interpretation, administration, enforcement, and continued application of these Terms & Conditions. These provisions survive throughout the commercial relationship between CODEMEONLINE and the Customer and, where applicable, continue to apply even after termination, suspension, cancellation, expiration, or completion of any product, service, subscription, or project.
These provisions are intended to ensure that the contractual relationship between CODEMEONLINE and the Customer remains legally enforceable, commercially practical, and consistent with applicable laws of India.
15.1 Entire Agreement
These Terms & Conditions, together with our Privacy Policy, Refund & Cancellation Policy, Cookie Policy, quotations, invoices, purchase orders accepted by CODEMEONLINE, Statements of Work (SOW), Enterprise Agreements, Software License Agreements, Data Processing Agreements (where applicable), and any other written agreement executed by an authorized representative of CODEMEONLINE constitute the complete and entire agreement between the parties relating to the subject matter hereof.
All previous oral discussions, proposals, negotiations, marketing materials, presentations, demonstrations, advertisements, emails, social media communications, or verbal representations are superseded by these Terms unless expressly incorporated into a written agreement executed by CODEMEONLINE.
15.2 Amendments
CODEMEONLINE reserves the right to modify, amend, update, replace, or revise these Terms & Conditions whenever reasonably necessary due to changes in applicable law, regulatory requirements, security requirements, technological developments, operational improvements, commercial practices, or business needs.
Where reasonably practicable, material changes affecting existing customers may be communicated through our website, customer portal, email, or other official communication channels.
Continued use of our products or services following the effective date of revised Terms constitutes acceptance of such revisions unless applicable law requires additional consent.
15.3 Severability
If any provision of these Terms is determined by a court or competent authority to be unlawful, invalid, void, or unenforceable, such provision shall be modified or interpreted to the minimum extent necessary to make it enforceable while preserving its intended commercial purpose.
The remaining provisions shall remain valid, binding, and fully enforceable.
15.4 Waiver
Failure or delay by CODEMEONLINE in exercising any right, remedy, power, or privilege under these Terms shall not constitute a waiver of that right or any other right.
Any waiver shall be effective only if expressly made in writing by an authorized representative of CODEMEONLINE.
15.5 Assignment
Customers may not assign, transfer, sublicense, delegate, sell, pledge, or otherwise transfer any rights or obligations under these Terms without the prior written consent of CODEMEONLINE.
CODEMEONLINE may assign or transfer its rights and obligations in connection with mergers, acquisitions, corporate restructuring, business transfers, financing arrangements, sale of assets, or other legitimate commercial transactions, subject to applicable law.
15.6 Independent Relationship
Nothing contained within these Terms creates any partnership, agency, joint venture, employment relationship, franchise, fiduciary relationship, or other legal association between CODEMEONLINE and the Customer.
15.7 Electronic Records & Electronic Signatures
Customers acknowledge that electronic records, electronic communications, digital invoices, online agreements, customer portal acknowledgements, email confirmations, and electronic acceptances may constitute legally valid evidence to the extent permitted under applicable Indian law, including the Information Technology Act, 2000.
15.8 Business Transfers
In the event of a merger, acquisition, investment, corporate restructuring, sale of business, transfer of assets, insolvency proceeding, or other corporate transaction involving CODEMEONLINE, customer agreements and associated rights and obligations may be transferred to the lawful successor or acquiring entity, subject to applicable law.
15.9 Compliance With Laws
Customers agree to comply with all applicable laws, regulations, governmental orders, licensing requirements, taxation obligations, privacy requirements, export controls, sanctions, anti-corruption laws, anti-money laundering laws, and other legal requirements applicable to their activities while using CODEMEONLINE services.
15.10 Anti-Bribery & Ethical Conduct
Customers shall not use CODEMEONLINE services in connection with bribery, corruption, unlawful payments, improper influence, or other unethical or unlawful business practices prohibited under applicable law.
15.11 Export Controls & Sanctions
Customers acknowledge that certain software, technologies, encryption features, artificial intelligence services, APIs, or cloud services may be subject to export control laws, sanctions regulations, or trade restrictions applicable within various jurisdictions. Customers remain responsible for ensuring compliance with laws applicable to their own activities.
15.12 Reservation of Rights
All rights not expressly granted under these Terms are reserved exclusively by CODEMEONLINE. No implied licenses, rights, permissions, ownership interests, or commercial rights shall arise by implication, estoppel, or otherwise.
Nothing contained within these Terms shall be interpreted as granting Customers any ownership interest in CODEMEONLINE software, infrastructure, artificial intelligence models, APIs, trade secrets, business methodologies, internal frameworks, source code, trademarks, databases, customer relationships, or other proprietary assets unless expressly agreed in writing.
15.13 Customer Feedback
Customers may voluntarily provide comments, suggestions, feature requests, enhancement proposals, bug reports, ideas, recommendations, or other feedback relating to our products and services.
Unless otherwise agreed in writing, Customers grant CODEMEONLINE a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for improving existing products and developing future products, provided that doing so does not disclose confidential customer information.
15.14 Confidential Enterprise Customers
Unless otherwise authorized in writing by the Customer, CODEMEONLINE will not intentionally disclose confidential enterprise relationships, internal implementation details, customer databases, proprietary workflows, or confidential commercial information except where disclosure is required by applicable law, court order, regulatory obligation, or governmental authority.
15.15 Survival
The provisions relating to intellectual property, confidentiality, limitation of liability, indemnification, payment obligations, dispute resolution, governing law, privacy, acceptable use, account termination, and all provisions that by their nature should survive termination shall continue to remain effective following termination or expiration of these Terms.
